Welcome to Flex C-Suite. By engaging our fractional CEO services, visiting our website www.flexc-suite.com, or otherwise interacting with our business, you agree to the following Terms and Conditions. Please read them carefully.

Scope of Services

We provide fractional CEO services, including but not limited to strategic planning, business advisory, leadership support, and executive consulting. The scope, duration, and terms of each engagement will be outlined in a separate written agreement, proposal, or service contract.

Engagement and Payment Terms

  • All services are billed as agreed in your signed engagement letter or proposal.

  • Payment terms are typically 15 days from the invoice date unless otherwise stated.

  • Late payments may incur a fee of 1.5% per month or the maximum allowed by law.

Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely information.

  • Cooperate with scheduling and decision-making.

  • Ensure that all business data and documents shared are lawful and non-infringing.

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes business strategies, financials, client/customer information, and internal communications. A separate NDA may be executed upon request.

Intellectual Property

Unless otherwise agreed in writing:

  • All materials, templates, frameworks, and intellectual property provided by us remain our property.

  • You are granted a non-exclusive, non-transferable license to use them solely for your internal business use.

Cancellations and Rescheduling

  • Either party may cancel scheduled meetings with at least 24 hours' notice.

  • Projects or monthly retainers may be paused or terminated with 15 written notice, as specified in the engagement agreement.

  • No refunds will be issued for work already completed or hours already delivered.

Limitation of Liability

To the fullest extent permitted by law:

  • We shall not be liable for any indirect, incidental, or consequential damages.

  • Our total liability for any claim arising from our services is limited to the amount you paid us for those services in the 30 days prior to the claim.

No Guarantee of Results

We do not guarantee any specific business outcomes. Strategic advice and leadership support are based on professional experience, but results depend on multiple external and internal factors beyond our control.

Termination

We reserve the right to terminate the engagement immediately if:

  • You breach these Terms or applicable laws.

  • There is evidence of abusive, unethical, or fraudulent behavior.

Governing Law

These Terms are governed by the laws of the state of [Insert State], without regard to its conflict of law principles. Any disputes shall be resolved in the courts of Henrico County, VA.

Amendments

We reserve the right to update or modify these Terms at any time. Continued use of our services after changes are posted constitutes your acceptance of the updated Terms.
